12.4 Counter-Notification
If your content has been removed or disabled and you believe the removal was made in error, you may submit a counter-notification containing:
- Identification of the removed material and its previous location;
- A statement under penalty of perjury that you believe the material was removed due to mistake or misidentification;
- Your name, address, telephone number, and email address;
- A statement that you consent to the jurisdiction of the courts of England and Wales (or other applicable jurisdiction, where required);
- Your electronic or physical signature.
Upon receipt of a valid counter-notification, we may restore the content unless the original complainant files a legal action within a reasonable period.
12.5 Repeat Infringers
MOZENTHRA LTD may suspend or terminate Accounts of users who are determined to be repeat infringers.
We reserve the right to define repeat infringement in accordance with applicable laws and internal policies.
12.6 Good Faith and Abuse of Procedure
Submitting false, misleading, or bad-faith copyright claims may result in:
- Rejection of the notice;
- Account suspension;
- Legal consequences under applicable law.

13. SUBSCRIPTIONS, PAYMENTS AND BILLING

Mediation shall be conducted in England and Wales unless otherwise agreed.
24.3 Binding Arbitration (Commercial Users)
If you are using the Platform for business or commercial purposes, any dispute arising out of or relating to these Terms shall be finally resolved by binding arbitration.

- Be conducted in the English language;

26.3 Continued Enforcement

27. ASSIGNMENT

MOZENTHRA LTD may assign, transfer, novate, or otherwise dispose of its rights and obligations under these Terms, in whole or in part, without prior notice to or consent from you, including in connection with:
- A merger or acquisition;
- A corporate restructuring;
- A sale of assets;
- A change of control;

These Terms shall be binding upon and inure to the benefit of any permitted successors or assigns.

28. ENTIRE AGREEMENT
28.1 Complete Agreement
These Terms, together with any policies and documents expressly incorporated by reference (including but not limited to the Privacy Policy, Cookie Policy, Community Guidelines, and Acceptable Use Policy), constitute the entire agreement between you and MOZENTHRA LTD regarding the use of the Platform and Services.
